Welcome to ALT Placements. These Terms and Conditions (“Agreement”, “Terms”) govern your access to and use of the services, website, and platform operated by ALT Placements, a brand owned and operated by Client Verge Inc FZE LLC, a company duly registered under Registration No. CWS-1V-225294, with its principal office located at 26th Floor, Amber Gem Tower, Ajman, UAE.
By accessing our website, submitting an inquiry, entering into a service agreement, or otherwise engaging with ALT Placements, you (“Client”, “User”, “Publisher”) acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must immediately cease use of our services.
These Terms apply to all users of ALT Placements services including advertisers, publishers, agencies, and any other parties seeking link placement, digital PR, content marketing, or related services.
2. Definitions
For the purposes of this Agreement, the following definitions apply:
- “ALT Placements” refers to the brand, platform, and services operated by Client Verge Inc FZE LLC.
- “Services” refers to all link placement, guest posting, sponsored content, digital PR, content marketing, and related SEO services offered by ALT Placements.
- “Client” means any individual, company, or entity that purchases or engages with our Services.
- “Publisher” means any website owner, blogger, media outlet, or digital property that partners with ALT Placements to host content or links.
- “Content” means any article, blog post, press release, sponsored material, anchor text link, or media submitted for placement purposes.
- “Placement” means the act of publishing Content on a Publisher’s website or digital property.
- “Order” means a confirmed request for Services submitted by a Client.
- “Deliverable” means the completed link placement, published article, or other agreed output resulting from a Service.
3. Description of Services
ALT Placements provides digital marketing and SEO services including, but not limited to:
- Niche link placements on vetted publisher websites across various industries including cannabis, CBD, psychedelics, vaping, alternative wellness, and general lifestyle niches.
- Guest post placement and sponsored content publishing.
- Outreach campaigns and digital PR services.
- Content writing and creation for placement purposes (where applicable).
- Niche-specific link building strategies tailored to regulated and non-regulated industries.
ALT Placements reserves the right to modify, suspend, or discontinue any aspect of its Services at any time with reasonable notice to existing Clients. The scope of any specific engagement shall be defined in a separate service agreement, order form, or proposal.
4. Eligibility & Client Representations
By engaging ALT Placements, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into binding contracts.
- If acting on behalf of a business entity, you have the authority to bind that entity to these Terms.
- You will use our Services only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.
- The Content, URLs, products, or services you are promoting comply with the laws of your jurisdiction and the jurisdictions in which you operate.
- You are solely responsible for ensuring that any regulated products or services (including cannabis, CBD, psychedelics, or vaping products) are marketed in accordance with applicable regulatory frameworks.
5. Orders, Payments & Billing
5.1 Order Acceptance
All Orders are subject to acceptance by ALT Placements. Submission of an Order does not constitute a binding contract until confirmed in writing (including via email) by ALT Placements.
5.2 Pricing & Fees
Pricing for Services is as quoted at the time of Order submission. All prices are in US Dollars (USD) unless otherwise specified. ALT Placements reserves the right to update pricing at any time; however, confirmed Orders shall be fulfilled at the price quoted at the time of confirmation.
5.3 Payment Terms
- Full payment is required in advance for all Services unless a separate written payment arrangement has been agreed upon.
- Accepted payment methods include bank transfer, credit card, PayPal, cryptocurrency, or other methods as outlined at checkout or in the proposal.
- Invoices are due upon receipt unless otherwise stated in the applicable service agreement.
- Late payments may be subject to a monthly late fee of 1.5% of the outstanding balance, or the maximum permitted by applicable law, whichever is lower.
5.4 Taxes
Clients are responsible for all applicable taxes, duties, or levies arising from their use of ALT Placements Services. Where required by law, ALT Placements may add applicable taxes (such as VAT) to invoices.
6. Refund & Cancellation Policy
6.1 Cancellations
All ALT Placements plans are billed month to month. There is no contract, no minimum term, and no termination fee. Clients may cancel at any time from their ALT Placements client dashboard. Cancellation stops all future billing. Upon cancellation, all Placements associated with the Client’s account are removed from the network.
6.2 No Refunds
All sales are final. ALT Placements does not offer refunds of any kind, including full, partial, or pro-rated refunds, for any Service, plan, add-on, or billing period once payment has been made. This applies regardless of when or why a subscription is cancelled, and regardless of SEO outcomes, rankings, traffic results, or Domain Rating changes. Full details are set out in our Refund Policy.
6.3 Replacements
In the event a Publisher removes a Placement within 12 months of publication due to circumstances within ALT Placements’ control, ALT Placements will use commercially reasonable efforts to provide a replacement placement of comparable value.
7. Client Obligations & Prohibited Uses
7.1 Acceptable Use
Clients agree to use ALT Placements Services in good faith and in compliance with these Terms. Clients shall not:
- Submit Content that is defamatory, fraudulent, misleading, or in violation of any third-party intellectual property rights.
- Use the Services to promote illegal products or services, including but not limited to unlicensed pharmaceuticals, weapons, or any content prohibited under applicable law.
- Attempt to manipulate search engine algorithms in ways that violate search engine guidelines or applicable law.
- Engage in spam, unsolicited communications, or any form of abusive outreach through or in connection with ALT Placements.
- Resell, sublicense, or redistribute ALT Placements Services without prior written consent.
7.2 Content Responsibility
Clients are solely responsible for the accuracy, legality, and appropriateness of all Content submitted for placement. ALT Placements reserves the right to review, edit, or reject any Content that violates these Terms, Publisher guidelines, or applicable law, without obligation to provide a refund.
8. Publisher Terms & Network
Publishers participating in the ALT Placements network agree to the following:
- To publish Content in accordance with the agreed placement specifications, including anchor text, URL, and editorial context.
- Not to remove or alter published Placements within the agreed retention period without notifying ALT Placements.
- To disclose sponsored or paid content where required by applicable advertising standards and regulations.
- To maintain editorial standards consistent with their public-facing website policies.
ALT Placements acts as an intermediary between Clients and Publishers and does not guarantee the actions, policies, or continued operation of any Publisher within its network. Publisher relationships are subject to change without notice.
9. Intellectual Property
9.1 Client Content
Clients retain ownership of all original Content they submit for placement. By submitting Content, Clients grant ALT Placements a non-exclusive, royalty-free license to use, distribute, publish, and share such Content for the purposes of fulfilling the requested Services.
9.2 ALT Placements Materials
All branding, website content, tools, templates, methodologies, and proprietary systems used by ALT Placements are the intellectual property of Client Verge Inc FZE LLC and are protected under applicable intellectual property laws. No license is granted to Clients to reproduce or use these materials outside of the scope of the Services.
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, sensitive, or non-public information shared in connection with the Services (“Confidential Information”). Neither party shall disclose Confidential Information to third parties without the prior written consent of the disclosing party, except as required by law or legal process.
Confidential Information does not include information that is publicly known, independently developed, or lawfully obtained from a third party without restriction.
11. Disclaimers & No Guarantee of Results
ALT Placements provides Services on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, ALT Placements expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Any guarantee of search engine rankings, organic traffic improvements, domain authority increases, or other SEO metrics.
- The permanent retention of any Placement on any Publisher website.
- Uninterrupted, error-free, or timely delivery of all Services in all circumstances.
- The accuracy or completeness of Publisher metrics including Domain Rating (DR), Domain Authority (DA), or traffic statistics provided by third-party tools.
SEO results depend on numerous factors outside ALT Placements’ control including search engine algorithm changes, competitor activity, and website technical performance. No employee, contractor, or representative of ALT Placements is authorized to make guarantees of specific outcomes.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Client Verge Inc FZE LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the Services.
In no event shall ALT Placements’ total cumulative liability to any Client exceed the total fees paid by that Client to ALT Placements in the three (3) months immediately preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Client Verge Inc FZE LLC, ALT Placements, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your violation of these Terms or any applicable law or regulation.
- Content submitted by you that infringes upon or violates any third-party rights.
- Your use of the Services for any prohibited purpose or in any prohibited manner.
- Any misrepresentation made by you in connection with your engagement of ALT Placements.
14. Privacy & Data Protection
ALT Placements collects and processes personal data in accordance with its Privacy Policy, available at www.altplacements.com/privacy. By using our Services, you consent to the collection, use, and processing of your personal data as described therein.
ALT Placements complies with applicable data protection laws including, where applicable, the General Data Protection Regulation (GDPR) and the data protection legislation of the UAE. Client data will not be sold to third parties.
15. Term & Termination
This Agreement is effective upon your first use of ALT Placements Services and continues until terminated by either party.
ALT Placements may terminate or suspend your access to Services immediately and without notice if you:
- Breach any provision of these Terms.
- Fail to make payment as agreed.
- Engage in any fraudulent, abusive, or unlawful activity in connection with the Services.
Upon termination, all outstanding payment obligations remain due. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution shall survive termination.
16. Dispute Resolution & Governing Law
16.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE), without regard to its conflict of law principles. Where applicable, the laws of the Emirate of Ajman shall apply.
16.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If such negotiation fails within thirty (30) days, the dispute shall be referred to binding arbitration under the rules of the relevant arbitration authority in the UAE.
16.3 Jurisdiction
For matters not subject to arbitration, both parties consent to the exclusive jurisdiction of the courts located in Ajman, UAE.
17. Modifications to These Terms
ALT Placements reserves the right to update or modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our Services following any such update constitutes your acceptance of the revised Terms.
For existing Clients with active agreements, material changes will be communicated via email at least fourteen (14) days before they take effect.
18. Force Majeure
ALT Placements shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, government restrictions, pandemics, natural disasters, cyberattacks, or third-party platform policy changes including search engine algorithm updates.
19. Entire Agreement & Severability
These Terms, together with any applicable service agreements, order forms, and the Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior discussions, negotiations, and representations.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
